Cloud Software Group Event Terms and Conditions

The following Cloud Software Group Event Terms and Conditions (“Terms”) govern your registration for and attendance at any events hosted by Cloud Software Group, Inc. (“Cloud SG”).  By registering or applying for any Cloud SG event (the “Event”), you confirm that you have read, understood and agreed to these Terms.  These Terms apply to all event participants, including attendees, speakers, and exhibitors. Should you not wish to accept the Terms, you should not register.

  1. Registration. To register for the Event, you must complete the applicable Event registration process identified by Cloud SG.  Events and registrations are subject to availability.  By completing the registration, you confirm that you are over 18 years of age on the first day of the Event.  Event registration is subject to availability and may close earlier than the posted deadline, as determined in Cloud SG’s sole discretion.  You represent and warrant to Cloud SG that: (i) the information you provide when registering is truthful, accurate, complete and not misleading; and (ii) you have the authority to bind the entity you are representing, if any.
  2. Change or Cancellation. At any time, Cloud SG, in its sole discretion, may change or cancel the Event, or limit or cancel a registration.  Cloud SG may make reasonable changes to the advertised Event program, agenda, and to the list of speakers and presenters at any time in its sole discretion.  Cloud SG is not responsible for any damages or losses, direct or indirect, resulting from such change or cancellation.  In the event of any cancellation, Sections 2, 4, and 6-9 of the Terms will continue in full force and effect.
  3. Code of Conduct at Events. Cloud SG is dedicated to providing a harassment-free experience for participants at all of our Events, whether they are held in person, virtually, or in a hybrid (combined in-person and virtual) format, including related ancillary or social Events.  We encourage open discussion and invite you to share your opinion, ask questions, and provide valuable feedback about the Event.  We encourage you to have respectful conversations about subjects that matter to you but do not permit conversations that cause harm to individuals, communities or the larger public.  Any form of illegal, misleading, disruptive, harassing, offensive, harmful, discriminatory or threatening speech or conduct during and in relation to the Event is strictly prohibited.  You are not permitted to record, transcribe, or store (whether electronically or otherwise) any of the materials, information or content provided to you during the Event.  In Cloud SG’s sole discretion, Cloud SG may require any participant engaging in or threatening such conduct to leave the Event and such participant(s) will be ineligible to receive a refund.  If you witness such conduct, please contact an Event staff member or provide notice of such conduct to Cloud SG.  For virtual and hybrid events, we reserve the right to hide, delete, and/or block chats and chat functionality of any attendee who engages in conduct prohibited in this section.  The views expressed by any Event attendee or speaker are not necessarily those of Cloud SG.  All Event attendees and speakers are solely responsible for the content of their respective individual and corporate presentations, marketing collateral, or advertising.
  4. Ethics. By registering for an Event, you confirm that your acceptance of any items of value, including gifts, food, beverages, promotional items, entertainment or other benefits provided by Cloud SG in connection with the Event is allowed under all applicable laws, regulations, gift or ethics rules, and the policies of your employer.
  5. Privacy Notice. If you register for an Event, you agree to the processing of your personal information such as, name, employer’s name, record of participation, contact information, and other personal information as necessary to facilitate your attendance to the event. Cloud SG may use third party service providers as needed to provide you with information and services associated with the Event.  We and our third party service providers will store your personal information in the United States and other countries. Your personal information may be used for our legitimate business interests to provide you more information about our products and services tailored to your interests.  Event exhibitors and other third parties may directly request your personal information at their exhibit booths or presentations.  Providing your information to them is optional, and you should review their privacy policies to address your particular needs and concerns about how they will treat your personal information.  Please visit our website to view our Privacy Policy for  which is incorporated herein by reference, and currently found at https://www.cloud.com/privacy-policy for more information about our privacy practices. 
  6. Attendee Badges. Any badge or other access (whether virtual or in-person) issued to you by Cloud SG for an Event (“Badge”) shall not be shared with any third party, and transferring, sharing, or assigning a Badge is prohibited.  Badges are issued to and only to be used by the attendee named in the Event registration.  Photo ID may be required to obtain a Badge.  By allowing Cloud SG to scan your badge, you consent to our use of your personal information as described in our Privacy Policy at https://www.cloud.com/privacy-policy. If you allow other event exhibitors and other third parties to scan your badge, their use of your information will be subject to their privacy policies.  Please be aware that scanning of attendee badges is optional, and you may refuse to have your badge scanned.
  7. Media Release. Cloud SG may take your photograph or video during your participation in or at the Event.  In consideration of the opportunity to  participate in the Event, you grant to Cloud SG and its affiliates, agents, employees and assigns an irrevocable, nonexclusive, royalty-free right and worldwide license, in perpetuity, to reproduce, edit, publish, distribute or translate, for any purpose relating to their business, all or any part of the following items ("Items") related to the Event: (a) all still photographs, and/or any audio or video recordings that Cloud SG or its contractors make and/or take of you, your voice, or likeness, including the right to use a speaker’s name, likeness, and biographical information (where the speaker has provided us with biographical information), and (b) all materials (electronic or hard copy) submitted or presented by you, including any materials submitted via social media handles.  You consent to the use of the Items pursuant to the foregoing in perpetuity without compensation (unless prohibited by law) or additional consents from you and waive any moral rights you may have in the Items.  Cloud SG disclaims all liability for the capture of you or any Event attendees in any Item (in any format).
  8. Assumption of Risk. Your attendance and participation in the Event are voluntary. You agree to assume any known and unknown risks associated with attending and participating in the Event to the fullest extent permitted under applicable law. You acknowledge that you shall at all times remain responsible for your compliance with any and all applicable laws and regulations.
  9. Release of Claims. TO THE EXTENT PERMISSIBLE BY APPLICABLE LAW, YOU HEREBY RELEASE CLOUD SG AND ITS AFFILIATES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AGENTS, SUCCESSORS AND ASSIGNS, FROM ANY AND ALL CLAIMS, DEMANDS, CAUSES OF ACTION, SUITS, DAMAGES, LOSSES, DEBTS, LIABILITIES, COSTS  AND EXPENSES (INCLUDING WITHOUT LIMITATION, REASONABLE ATTORNEYS' FEES AND COSTS) (“CLAIMS”) THAT YOU MAY HAVE NOW OR IN THE FUTURE ASSOCIATED IN ANY WAY WITH THE TERMS, THE EVENT OR THE ITEMS.  NOTHING IN THE TERMS SHALL LIMIT OR  EXCLUDE EITHER PARTY’S LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY LAW.  THIS RELEASE IS SPECIFICALLY BINDING UPON YOUR HEIRS AND ASSIGNS AND IS KNOWINGLY GIVEN.
  10. Limitation of Liability. CLOUD SG AND ITS AFFILIATES AND LICENSORS WILL NOT BE LIABLE TO YOU UNDER ANY CAUSE OF ACTION OR THEORY OF LIABILITY, EVEN IF A PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, FOR (A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR (B) LOST PROFITS, REVENUES, CUSTOMERS, OPPORTUNITIES, OR GOODWILL. IN ANY CASE, CLOUD SG AND ITS AFFILIATES’ AND LICENSORS’ AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED USD $100.  THE LIMITATIONS SHALL APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAWREGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE), BREACH OF STATUTORY DUTY, STRICT LIABILITY OR OTHER THEORY.
  11. Intellectual Property. No copying, recording or re-distribution of anything provided at an Event (including but not limited to products, software, services, training materials, and certification materials), or any part thereof, is permitted unless otherwise authorized by Cloud SG in writing.  Cloud SG’s names or marks may not be used in any publicity, advertising, public announcements, marketing materials, websites, or other materials without Cloud SG’s prior written approval.
  12. Trade Compliance. You represent and warrant that you are not subject to sanctions or otherwise designated on any list of prohibited, restricted, or excluded parties or owned or controlled by such a party, including but not limited to the lists maintained by the United Nations Security Council, the U.S. Government, the European Union or its member states, or other applicable government authority.
  13. Force Majeure. Cloud SG and its affiliates will not be liable for any delay or failure to perform any obligation under these Terms where the delay or failure results from any cause beyond our reasonable control, including acts of God, labor disputes or other industrial disturbances, electrical or power outages, utilities or other telecommunication failures, earthquake, storms, or other elements of nature, pandemics, blockages, embargoes, riots, acts or orders of government, acts of terrorism, or war.
  14. Governing Law. Any dispute or claim (including non-contractual disputes or claims) arising under or in connection with the Terms, their subject matter, or formation (“Dispute”) shall be governed by and will be construed in accordance with the laws of the State of Florida without regard to the choice of law provision therein.
  15. Severability and Inconsistency. If any provision of this agreement is or becomes invalid, illegal or unenforceable, the remaining provisions of this agreement shall not be affected or impaired and the invalid, illegal or unenforceable provision shall be deemed to be modified to the minimum extent necessary to make it valid, legal and enforceable.
  16. Entire Agreement. The Terms constitute the entire agreement and understanding between the Parties with respect to the subject matter of the Terms and the Event, superseding all prior or contemporaneous proposals, communications and understandings, whether oral or written.
